Kensington Capital Advisors Inc. Announces Special Meeting of Unitholders of Kensington Private Equity Fund
Written by Rui Hu on . Posted in Kensington in the News, Press Releases.
Toronto, Ontario — February 11, 2026 – Kensington Capital Advisors Inc. (the “Manager”), as trustee and manager of Kensington Private Equity Fund (the “Fund”), announced today that the board of directors of the Manager has approved a series of proposed changes to the terms of the Fund. The proposed changes are intended to position the Fund for long-term success in today’s evolving private markets and will be considered and voted upon by unitholders of the Fund at a special meeting of unitholders (the “Meeting”).
The Meeting will be held on March 25, 2026 at 10:00 a.m. (Toronto time) at the offices of Osler, Hoskin & Harcourt LLP, 1 First Canadian Place, Suite 6300, 100 King Street West, Toronto, Ontario.
At the Meeting, unitholders will be asked to approve a proposal to update certain terms of the Fund (collectively, the “Proposals”). The Proposals are intended to modernize the Fund’s structure, enhance alignment between the Fund’s liquidity profile and its underlying private market assets, and strengthen alignment between the Manager and unitholders.
The Proposals include:
- Updates to the redemption terms of the Fund to enhance alignment between the Fund’s liquidity and the liquidity profile of its underlying private assets, by providing quarterly redemption rights to all units in an amount of approximately 5% of the outstanding units per calendar quarter, subject to the Fund’s available cash and availability and limitations under the Fund’s credit facilities, after taking into account the Fund’s existing obligations and establishing appropriate reserves;
- Enabling the Manager to cancel the outstanding redemption requests for units which have been tendered for redemption prior to or during the current suspension of redemptions, in order to facilitate the implementation of the revised redemption framework on a fair and equitable basis;
- Simplification of the Fund’s capital structure by redesignating the outstanding Class A Units, Class F Units and Class L Units into Class G Units, based on the relative net asset value of each class and eliminating such classes;
- Better alignment of the economic incentives of the Manager and unitholders of the Fund by disconnecting the payment of performance fee payable to the Manager from the payment of a distribution to all unitholders of the Fund, such that the Manager’s entitlement to the performance fee shall be based entirely on net realized income and net realized capital gains received by the Fund without the requirement for a corresponding distribution to unitholders; and
- Certain related amendments to the Fund’s declaration of trust to reflect the foregoing changes.
The Proposals are designed to provide, among other benefits, a more predictable and transparent redemption process, lower fees for certain unitholders, improved governance, and stronger long-term alignment between the Manager and unitholders of the Fund.
The board of directors of the Manager has determined that the Proposals are in the best interests of the Fund and its unitholders and recommends that unitholders vote FOR the Proposals. The Fund’s advisory board has also provided a positive recommendation in favour of the Proposals.
Unitholders of record at the close of business on February 10, 2026 will be entitled to receive notice of, and vote at, the Meeting. Unitholders are encouraged to vote in advance of the proxy deadline of 5:00 p.m. (Toronto time) on March 23, 2026.
In order for the Proposals to become effective, they must be approved by at least two-thirds of the votes cast by unitholders voting together as a single class at the Meeting, in person or by proxy.
The Manager has elected to use the notice-and-access method for delivery of Meeting materials. A management information circular (the “Circular”) will be prepared in connection with the Meeting and will provide detailed information regarding the Proposals, voting procedures and related matters. Unitholders may request a paper copy of the Circular at no cost, as described in the notice-and-access document, and may access the Circular in both English and French under the Fund’s profile on SEDAR+ at www.sedarplus.ca.

- Mettre à jour les modalités de rachat des parts du Fonds afin d’accroître l’harmonisation de la liquidité du Fonds et du profil de liquidité de ses actifs privés sous‑jacents, en accordant des droits de rachat trimestriels visant environ 5 % des parts en circulation chaque trimestre, sous réserve des liquidités disponibles du Fonds, de la capacité du Fonds d’obtenir des facilités de crédit et, le cas échéant, des restrictions dont elles sont assorties, et compte tenu des obligations existantes du Fonds et de l’établissement de réserves appropriées;
- permettre au Gestionnaire d’annuler les demandes de rachat en suspens visant des parts qui ont été déposées en vue de rachat avant ou pendant la période de suspension des rachats de parts actuelle afin de faciliter la mise en œuvre d’un nouveau cadre de rachat juste et équitable;
- simplifier la structure du capital du Fonds en redésignant les parts de catégorie A, les parts de catégorie F et les parts de catégorie L en circulation comme des parts de catégorie G, en fonction de la valeur liquidative relative de chaque catégorie de parts, et en supprimant ces catégories de parts;
- harmoniser davantage les incitatifs économiques du Gestionnaire et ceux des porteurs de parts du Fonds en rompant le lien entre la rémunération au rendement payable au Gestionnaire et le versement d’une distribution à tous les porteurs de parts du Fonds, de sorte que le droit du Gestionnaire à cette rémunération soit fondé entièrement sur le revenu net réalisé et les gains en capital nets réalisés reçus par le Fonds, sans être conditionnel au versement d’une distribution correspondante aux porteurs de parts;

Written by Rui Hu on . Posted in Kensington in the News, Press Releases.
Toronto – December 31, 2025 – Kensington Capital Advisors Inc. (the “Manager” or “Kensington”), the manager of the Kensington Private Equity Fund (the “Fund”), today announced that it has extended the suspension of redemptions of units of the Fund (the “Units”) for an additional period of up to 90 days, effective immediately.
The Manager initially suspended redemptions on September 30, 2025, in response to market challenges that limited liquidity across the private markets landscape.

Kensington Adds Leading National Security Investor George Hoyem to its ONE9 Investment Committee
Written by Rui Hu on . Posted in Kensington in the News, Press Releases.
Appointment of In-Q-Tel’s Lead Investor Further Strengthens Kensington’s ONE9 Defence and Security Venture Capital Platform
TORONTO – July 9, 2025 – Kensington Capital Partners Limited today announced the appointment of George Hoyem to the Investment Committee of its ONE9 defence and security venture capital platform. This strategic move further strengthens ONE9’s position as the Canadian market leader for investments in national security technologies, including cybersecurity, dual-use technologies and advanced defence innovations. Hoyem will also serve as Special Advisor to Kensington in this sector, assisting with the strategic growth and development of the ONE9 venture capital platform, which Kensington acquired in March 2025.
George Hoyem spent the past 15 years at In-Q-Tel (IQT), most recently serving as Executive Vice President, Investments, where he led the IQT investment team for the past several years until his retirement in June 2025. IQT is the U.S. Government agency established with the mission to be the premier government partner trusted to identify, evaluate and leverage emerging commercial technologies for the U.S. National Security community and America’s allies. Set up in 1999 by the CIA as an independent strategic investment firm, IQT has spent more than 25 years helping startups adapt their highly innovative products to both maximize mission impact for its government partners while enhancing the companies’ commercial success. Today, IQT represents over a dozen different U.S. Government partners, as well as counterparts in the United Kingdom and Australia, to fulfill its mission of ‘Global Security Investing’.
ONE9 and Kensington have collaborated with IQT on numerous investments for over a decade, developing a strong business and co-investment partnership. This growing relationship will now be significantly enhanced by Hoyem’s active role on their investment team, where he will assist the firm with strategic sourcing, evaluation and management of all new investments relating to national security. As the leading Canadian venture firm focused on this sector, ONE9 brings the most innovative emerging security and defence technologies to market, across artificial intelligence, robotics, cybersecurity and space technologies, among other subsectors.
“I look forward to bringing my network and experience to the growing ONE9 investment platform, which is very well positioned to source top-tier investments and generate strong returns for investors,” said Hoyem. “As I return to the private sector, I am confident that my relationships across Government and industry stakeholders will add value to our portfolio companies.”
“George’s experience and credibility is at the very top tier of the national security investment domain,” said ONE9 founder and Managing Director Glenn Cowan. “His unique experience and insights into U.S. national security, as well as his extensive network, will complement our team’s leadership in building a market leading venture capital platform in this sector.”
“George’s addition to our team reinforces and strengthens ONE9 as Canada’s leading platform for venture capital investment in national security,” said Rick Nathan, Senior Managing Director at Kensington. “Our growing focus on this sector comes at a time of growing geopolitical stress, leading to significant increased innovation and spending in these key emerging technologies as we bring new opportunities for value creation to our investors.”

Kensington Acquires ONE9 Venture Capital Business
Written by Rui Hu on . Posted in Kensington in the News, Press Releases.
Kensington adds ONE9’s core expertise in National Security technologies to its growing venture capital business
TORONTO – April 2, 2025 – Kensington Capital Partners Limited (Kensington) today announced the acquisition of the venture capital investment business of ONE9, the Ottawa-based team led by founder and Managing Partner Glenn Cowan. Upon completion of the transaction, all ONE9’s future investment activities, including new funds and new direct investments, will be completed exclusively within Kensington. This strategic move establishes Kensington as a market leader for investments in National Security technologies, including cybersecurity, as well as dual use and defense first technologies.
Kensington is acquiring a minority stake in ONE9 Capability Labs, the ONE9 company that provides value-added services to portfolio companies and other National Security clients, with the option to acquire the remaining interest in the business upon completion of certain milestones. ONE9’s interests in legacy investments previously completed by their team are not included in the transaction and will remain with the vendors.
Following his many years of military service as a Squadron Commander in Canada’s Joint Task Force 2 (JTF2), Cowan launched ONE9’s venture capital business leveraging his special operations experience, military and intelligence knowledge, and insights on unique deal flow through his deep connections. With its focus on defense, intelligence, and National Security investments, ONE9 bridges the gap between private capital markets and the world’s most innovative military technologies with substantial civilian uses.
Over the past five years, Kensington and ONE9 have collaborated on several investments, including Tomahawk Robotics, a drone control technology successfully sold in 2023 to AeroVironment, Inc. (NASDAQ: AVAV); and Strider Technologies, an AI application that transforms open-source data into strategic intelligence, among others. Kensington was also the lead investor in the ONE9 Special Mission Fund launched by the ONE9 team. Working together on these investments led to a strong and successful business partnership, culminating in this transaction.
Through its 29-year history investing in private equity and venture capital, Kensington has independently established its own track record investing in National Security technologies, where it sees many of the most compelling new opportunities emerging in today’s market, from artificial intelligence to robotics and autonomous systems, space technologies and cybersecurity. Now, with the addition of ONE9’s domain expertise, the combined team is well positioned to take a leadership role in this sector. Kensington plans to use the ONE9 brand name and expand the platform by continuing its hybrid strategy of investing directly into emerging technology companies as well as venture capital funds focused on this sector.
“In today’s world, we are seeing the growing importance of directing our investment and innovation efforts towards our collective National Security,” said Cowan. “This transaction positions us to lead the market in this sector.”
“Working alongside Glenn and his team for the past several years has led to a strong and successful collaboration, and increased our focus on the National Security sector,” said Rick Nathan, Senior Managing Director at Kensington. “We see an exciting opportunity to launch an entirely new investment platform for Kensington in this sector, which has been growing dramatically and has led to real successes in our portfolio. The addition of Glenn and other key members of ONE9 to Kensington’s investment team will enable us to capitalize on these trends and bring new opportunities for value creation for our investors.”

Humi acquired by Australian HR software company Employment Hero
Written by Rui Hu on . Posted in Kensington in the News.
Toronto-based Humi has been acquired by fellow HR software company Employment Hero, as the embattled Australian company looks to gain a foothold in Canada.
In a statement, Humi said the deal is “estimated to be worth north of $100 million CAD.” However, sources close to the company indicated to BetaKit that the acquisition was worth $155 million CAD.
“In a lot of ways, the partnership with Employment Hero is like a better version of a Series C for us.” – Kevin Kliman, Humi
In an interview with BetaKit, Humi co-founder and CEO Kevin Kliman declined to disclose the exact purchase price, but said the acquisition was made with a mix of cash and equity.
Following the acquisition, Kliman said that Humi will become the Canadian hub for Employment Hero, while remaining branded as Humi for the time being. He added that the combined company plans to retain all of its current employees and materially grow its presence in Canada.
“In a lot of ways, the partnership with Employment Hero is like a better version of a Series C for us,” Kliman said. “We get the funding that we otherwise would have gotten to grow the next stage of our company, incredible mentorship from a team that has just done what we want to do, and all the leadership within Humi is staying in place.”
Founded in 2016 as a cloud-based web app to store employee data, Humi has since expanded to support employers in managing HR, benefits, and payroll. The startup raised a $15-million CAD Series A round led by Tribe Capital in 2020 and a $31-million CAD Series B round led by Kensington Capital Partners in 2022.
Kliman claimed in a blog post announcing the deal that more than 150,000 Canadian workers are using Humi, and that the platform has facilitated over $7 billion in wages to date.

Employment Hero offers many of the same HR features as Humi, but both platforms will benefit from filling their respective gaps, according to Kliman. He said that Humi will bring the local knowledge and features that are required to support Canadian companies to Employment Hero, while Humi will benefit from Employment Hero’s five-year head start in the space, allowing it to “leapfrog” its less mature onboarding, recruiting, and payroll tools.
Kliman added that he felt like the culture fit of the two founder-led companies “could not be better.”
“Humi’s mission is to become the largest employment platform in Canada, while Employment Hero’s mission has become the biggest employment platform in the world,” Kliman said. “So the two are very well matched in mission and in culture.”
Despite this sentiment, Employment Hero has been under fire from the Australian press on multiple fronts over the past few months, principally with allegations of a toxic workplace culture.
In October, Australian publication Capital Brief reported that Employment Hero co-founder and CEO Ben Thompson was facing criticism from women leaders in Australia’s startup scene for a post made on X that said: “WiseTech CEO Richard White is allegedly bringing a whole new meaning to the term ‘seed capital.’”
The post, which Capital Brief reported that Thompson downplayed as a “bad dad joke,” referred to allegations that White had expectations of sexual favours in exchange for business investment, and had been sending crude and suggestive messages to female entrepreneurs.
In the ensuing months, Capital Brief reported numerous stories on Employment Hero’s allegedly toxic workplace culture, including a rowdy offsite gathering that resulted in the termination of four employees, with multiple former employees describing the company as a “vile workplace” ruled by a “fear culture.” Current and former staff also complained to the outlet about Employment Hero’s series of abrupt strategy changes in the past few months, including scaling back an expansion, pausing development on several projects, and making layoffs.
Kliman said he disagreed with the reports, and that he had “spent time with tons of people on [Employment Hero’s] end.”
“I can say for certain that the culture is fantastic, they’re incredibly caring people and treat people as such,” Kliman said. “The culture within the company has been nothing but positive from what I’ve seen.”
